Membership of Greensward

The Greensward is the open area adjacent to Deneside, in the Downlands Estate, and is one of two registered Village Greens in East Dean. In order to further safeguard the Greensward, it was purchased in 2012 via a fund-raising initiative overseen by the Residents’ Association. The outcome was the formation of East Dean Greensward Limited, which is a company limited by Guarantee. It is registered at Companies House and the (unpaid) Directors are residents of the Village. The Company does not trade and does not have to produce professionally-audited annual accounts. The company has no assets, apart from the Greensward, and no shareholders. However, all residents are eligible to apply for membership, which in turn enables them to express an interest in the use of the Greensward.

The Residents’ Association is the managing agent for the Company and, as such, oversees and pays for the maintenance of the Greensward (other than mowing, which is covered by the Parish Council). The RA also pays for public liability insurance in respect of the Greensward.

Members are not liable for any debts of the company and are not liable if any action is brought against the company. This is because it is a limited liability company. However, if East Dean Greensward Ltd is ever wound up, each member will be required to pay no more than £1.00 (one pound) to the company. This is the amount each member “guarantees” to pay to the company by becoming a member.

The rules and objectives of the company are set out in its Memorandum and Articles of Association, which explain what the company can and cannot do. These can be inspected upon request to the Company Secretary.

I wish to become a member of East Dean Greensward Ltd, subject to the provision of the Memorandum and Articles of Association of the company and to the rules. I agree to pay to the company an amount of £1 (one pound) if the company is wound up while I am a member, or up to 12 months after I have ceased to be a member of the company.
